Limited Warranty Statement

WATERGEN AWG SYSTEM (“PRODUCT”)

Subject to the terms and conditions of this Limited Warranty, Water Gen Ltd. (the “Company”) warrants to the original purchaser of this product (“Purchaser”), that:

1. The Product will be substantially free from defects in material and workmanship for a period of 12 months from installation date of the Product (provided installation was carried out not later than 30 days from the date of arrival  of the Products to the Territory’s port and provided that storage conditions were reasonable – dry covered and secure storage location and Products in their original packaging and according to Watergen’s storage instructions) (“Warranty Period“), subject to receipt by the Company of a full installation report which includes the installation date, technician details & system S/N and subject to normal use in accordance with the instructions set out during the installation procedure and in the Product’s user manual (“Warranty“). The Warranty shall only be applicable in the territory in which the Product was purchased.

Notwithstanding the aforesaid, components of the Products which are designed for a one-off or short-term use or application (i.e. consumables such, air/water filters, UV Lamps) shall be covered by the Warranty for 3 months only from the installation date of the Product.

2. The Company at its sole discretion will either repair or replace the Product or a component thereof to the Purchaser during the Warranty Period. Any repair, at the Company’s option, may include the replacement of parts with functionally equivalent reconditioned (where permitted by law), or new parts. Any replacement or repaired Product will be warranted for the remainder of the original Warranty Period. Defective parts must be made available to the Company in exchange for the replacement parts and shall become the property of the Company.

3. In case defects will be found during the unit installation (DOA-dead on arrival), the Company at its sole discretion will either repair or replace the Product or a component thereof in accordance with the terms of this Warranty.

4. The replacement or repair of Product(s) or parts thereof, as described in this Warranty, shall constitute the sole remedy of the Purchaser and the sole liability of the Company hereunder.

5. This Warranty does NOT include labor or any other costs incurred as a result of any service, maintenance, repair, removal, replacement, installation, shipping or handling. Without derogating from the aforesaid, the Purchaser shall bear all shipping costs of any Product and or any component thereof to the Company.

6. The Purchaser shall bear the entire risk and all costs and expenses associated with Products that have been returned to the Company for which no defect has been found.

7. Any warranty hereunder is made on condition that: (i) the Company receives from the Purchaser a written notice of a Product defect during the Warranty Period, and (ii) the Purchaser provides the Company with details as to the detailed exact nature of the defect, and any other information (such as photos/video clips etc.) which the Company should reasonably be made aware of and attaches any relevant evidence to substantiate its complaint regarding the Product, and (iii) the Purchaser provides the Company with the Product’s serial number, failure date,  and a proof of purchase with the date thereof; (iv) if requested by the Company, the defective Products or components have been transferred or returned to an address or location indicated by the Company in accordance with the Company’s instructions and (v) the defected Product was disconnected from its power source immediately upon detection of the fault or malfunction of such Product.

8. This Warranty shall not apply with respect to any Product that is or has been repaired or modified by parties not explicitly authorized by the Company (i.e. certified technician). In addition, this Warranty does not cover damage or failure caused by: (i) misuse and/or abuse and/or any cause other than ordinary and reasonable use of the Product and/or use of the Product which is not in accordance with the Product’s user manual (including without limitation the use of consumables that are not approved by the Company) ; (ii) reasonable wear and tear; (iii) improper matching of the Products  components; (iv) external causes, such as, but not limited to, failure or fluctuation of electrical power, accident, fire, lightning, water damage; equipment or accessories added to the Product by any party other than the Company or damage caused by force majeure; (v) damage or deterioration caused by normal weather or corrosive atmospheric conditions; (vi) Use in improper applications or conditions or in conjunction with improper materials; (vii) contact with aggressive chemical agents, penetration of insect of any kind, dirt, temperature shock, U.V. degradation or unusual pressure, pulsation or vibration; or (viii) Products that have had a serial number or any part thereof altered, defaced or removed.

9. Without derogating from the aforesaid, this Warranty does not apply to any changes in the appearance of the Product which do not affect its performance, such as to the form of plastic parts, spout cover, panels, etc.

10. Except as specifically set forth herein, the Company makes no other representations or warranties on the performance of the Product, and the Company specifically disclaims any implied warranty or condition of merchantability, title or fitness for a particular purpose or non-infringement. The Company disclaims and excludes all warranties not expressly provided herein and all remedies which, but for this provision, might arise by implication or operation of law, including, without limitation, the implied warranties of merchantability, non-infringement of third party rights, and of fitness for any particular purpose. The Company disclaims all liability for the acts, omissions and conduct of all third parties (including, without limitation, the installing contractor) in connection with or related to the Products.

11. The Company will not be liable to any person for, nor does this Warranty extend to, any special, consequential or incidental damages or expenses of any kind or of whatsoever nature, including without limitation, infringement of third party rights, lost goodwill, lost revenues or profits, damage to business or reputation, arising from any cause whatsoever, whether in an action in contract, tort, product liability, statute or otherwise. Some jurisdictions do not allow limitations on warranties or exclusions or limitation of damages, so the above limitations or exclusions may not apply.

12. This Warranty gives the Purchaser specific legal rights and the Purchaser may also have other rights that vary from one territory to another and this Warranty does not derogate from the Purchaser’s rights under the applicable law.

13. The Company assumes no obligation or liability for additions or alterations to this Warranty unless made in writing and signed by an authorized officer of the Company.

14. This Warranty shall be governed by and construed in accordance with the laws of the State of Israel. Any disputes, and/or claims arising out of or relating to this Warranty, or the breach, termination interpretation or invalidity thereof, shall be exclusively and finally settled by the competent courts of Tel-Aviv only to the exclusion of any other court.

15. If any provision of this Warranty is deemed to be illegal, unenforceable, or invalid, in whole or in part, the validity and enforceability of the remaining provisions shall not be affected or impaired, and shall continue in full force and effect. In substitution for any such provision deemed to be illegal, unenforceable, or invalid, in whole or in part, a provision reflecting the original intent hereto to the extent permissible under applicable law shall be deemed to substitute said provision.
